These terms cover joinbluechips.com, the Bluechips waitlist, and the Bluechips app ("Bluechips", "we", "us"). Bluechips is made by Municipal Labs Inc., a Delaware corporation, 8 10th St, Apt 2701, San Francisco, CA 94103. By joining the list or using the app you agree to these terms. If you don't agree, don't use Bluechips.

Who can use Bluechips

You must be at least 18 years old, a US resident, and able to form a binding contract. You may hold one account and one place on the list. You must give us a mobile number that is yours.

What Bluechips is

Bluechips shows fractional shares of public companies as chips (1 chip is 1/1,000 of a share). Brokerage services, including the accounts that hold your shares, are provided by Alpaca Securities LLC, member FINRA/SIPC, and are subject to Alpaca's own agreements, which you accept when you open a brokerage account. Municipal Labs Inc. is not a broker-dealer or investment adviser. Nothing in Bluechips is investment, tax or legal advice or a recommendation to buy, sell or hold any security. Securities can lose value.

The beta and play money

Bluechips is in beta. Until funding opens for your account, balances, packs and chips in the app may be simulated ("play money"). Simulated amounts and chips have no cash value, can't be withdrawn, and may be reset. The app tells you when funding is open. Features may change, pause or end during the beta.

The waitlist

• Joining the list is free. No purchase or payment is ever required to join, to move up, or to receive the invite reward.
• Your place in line is shown on your status page. It is an estimate, not a promise of access or of a date. We send invitations in groups, in order of place in line, and may invite people outside that order (for example, testers and friends of the team).
• Each friend who joins the list from your link and confirms their own mobile number moves you up 25 places, counted for at most 20 friends.
• You may share your link only with people you know. Links posted to coupon, deal or referral-trading sites, entries made with numbers that aren't the entrant's own, automated entries, and entries made to game the list may be removed without notice, along with any places or rewards they earned.

The invite reward

• When a friend joins through your link, you both get a new company: $5 in chips each. The reward is paid on your friend's first drop after they confirm their mobile number in the app; where identity verification with our brokerage partner is required, it is paid on their first drop after that verification. It is not paid at sign-up, and no deposit is required.
• Until your account opens, reward chips are held for you. They are delivered as fractional shares when your brokerage account is open. Reward chips can't be sold or sent for 30 days after they land.
• One person can earn at most 20 rewarded invites. Joins past that cap don't carry the reward.
• The reward is always a fixed $5 in chips each, never a random amount. The company is chosen by Bluechips and named when the chips land.
• Rewards have no cash value until delivered as shares, can't be transferred or sold before then, and are void where prohibited. We may change or end the reward for future invites with notice on this page; a reward already earned is honored.

Text messages

By checking the consent box on joinbluechips.com you agree to receive a one-time code by SMS to confirm your number and, later, an invitation text from Bluechips when your spot opens. Up to 3 messages per month. Message and data rates may apply. Reply STOP to cancel and HELP for help. Consent is not a condition of purchase. Carriers are not liable for delayed or undelivered messages.

Your conduct

Don't misuse Bluechips: no fake or borrowed numbers, no automated access or scraping, no attempts to interfere with or overload the service, no reverse engineering except where the law allows it, and no use that breaks the law or anyone's rights. We may suspend or close accounts and list entries that break these terms.

Your content and feedback

You keep the rights to the photo and name you add. You let us use them to run Bluechips (for example, to show your name to your friends). If you send us feedback, we may use it without owing you anything.

Ending

You can leave at any time: delete your account in the app, or ask us to remove your place on the list at [email protected]. Your brokerage account with Alpaca Securities is governed by Alpaca's agreements, including how you close it and withdraw your shares.

Disclaimers and limits

Bluechips is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all implied warranties, and Municipal Labs Inc. is not liable for indirect, incidental, special, consequential or punitive damages, or for more than $100 in total for any claim about Bluechips. Some places don't allow these limits, so they may not apply to you.

Law and disputes

These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute will be heard in the state or federal courts located in San Francisco County, California, and you and we consent to their jurisdiction.

Changes

We may update these terms. We'll post the new version here with a new date, and for material changes we'll tell you in the app or by text before they take effect.
